The Board of Directors has the power and legal authority to govern the association, and the members have the right to hold directors accountable for their decisions on behalf of the community association.
There are five key Board of Directors responsibilities of the Homeowner's Association. They - Maintaining common areas.
- Enforcing HOA rules.
- Managing fiscal responsibilities.
- Conflict resolution
- Compliance with laws and governing documents.
The Board of Directors also has three critical fiduciary duties: duty of care, loyalty, and the duty to act within the scope of authority.
The board of Directors should exercise proactivity and active learning to minimize future problems, misunderstandings, and reoccurring mistakes:
- No Ongoing Training for Board and Committee Members
- Poorly Run Board of Directors with No set Goals or Objectives
- Not knowing or learning of the Governing Documents
- Lack of Financial Integrity
- No Community Governance
- Ineffectively Communicating
- Misunderstanding the True Function of the Community Manager/Agent
- Ignoring the Advice of Professionals
- Failure to maintain proper records and provide member's access
- Not putting the community's best interest first and foremost.
